Welcome to Doccupine, operated by Jestro LLC d.b.a Doccupine ("Doccupine," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Doccupine platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Acceptance of Terms
By creating an account or using the Doccupine platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You must be at least 16 years of age to use this Service. By using the Service, you represent that you meet this age requirement.
2. Account Registration
To access the Service, you must create an account through our authentication provider, Clerk. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials and authentication tokens
- Promptly notify us of any unauthorized access to or use of your account
- Accept responsibility for all activities that occur under your account
You are solely responsible for maintaining the confidentiality of your account. Doccupine will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
3. Subscription Plans and Billing
Plans
Doccupine offers paid subscription plans including Pro and Enterprise tiers. The features, limitations, and pricing for each plan are described on our website and may be updated from time to time. Doccupine is also available as an open-source project that can be self-hosted at no cost, subject to the terms of its open-source license.
Payment Processing
All payments are processed through Stripe. By subscribing to a paid plan, you authorize Stripe to charge your designated payment method on a recurring basis in accordance with the billing cycle of your chosen plan. You agree to maintain valid and up-to-date payment information.
Billing Cycle and Renewals
Paid subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged at the then-current rate for your plan at each renewal.
Cancellation
You may cancel your subscription at any time through your account settings or the Stripe customer portal. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds are provided for partial billing periods.
After your subscription ends or your free trial expires, your projects and associated data (including documentation files, pending changes, and deployment configurations) will be retained for six (6) months. During this grace period, you may resubscribe to restore full access. If you do not resubscribe within six months, your projects and data will be permanently deleted.
Price Changes
We reserve the right to modify our pricing at any time. If we change the price of your plan, we will provide you with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
4. Platform AI Assistant
Doccupine offers an AI-powered assistant to help with documentation tasks such as content generation, editing suggestions, and summaries. The AI assistant is available in two modes:
Platform Key Mode
When you enable the "Platform Key" AI mode, Doccupine provides the AI model and API key on your behalf. The following terms apply:
- AI requests are routed through a third-party API gateway. Doccupine reserves the right to change the AI model, provider, routing, or configuration at any time without prior notice.
- Each subscription plan includes a monthly AI spending budget: $2 for Trial, $20 for Pro, and $50 for Enterprise. These amounts are subject to change.
- When your AI usage reaches the included budget for the current billing period, AI access will be automatically paused until the budget resets at the start of the next period. You will not be charged beyond your plan's included budget.
- If the underlying AI provider changes its pricing, Doccupine reserves the right to adjust the included budget amounts, change available models, or temporarily pause AI service until pricing is reconciled.
- Doccupine does not guarantee uninterrupted availability of Platform Key AI services. AI features may be temporarily unavailable due to provider outages, maintenance, or other factors.
BYO Key Mode
Users may choose to bring their own API key ("BYO Key" mode) from a supported AI provider. When using BYO Key mode:
- You are solely responsible for all API costs and usage associated with your own key.
- You must comply with the terms of service of your chosen AI provider.
- Doccupine stores your API key securely but is not liable for charges incurred through your key.
AI Output Disclaimer
Doccupine is not responsible for the accuracy, completeness, reliability, or suitability of any AI-generated content. AI outputs may contain errors, inaccuracies, or inappropriate material. You are solely responsible for reviewing, verifying, and editing all AI-generated content before publishing or relying on it. Use of AI-generated content is entirely at your own risk.
5. User Content and Intellectual Property
Your Content
You retain all ownership rights to the documentation, text, images, and other materials you create, upload, or publish through the Service ("User Content"). By using the Service, you grant Doccupine a limited, non-exclusive, worldwide license to host, store, transmit, and display your User Content solely for the purpose of providing and operating the Service.
GitHub Repositories
Documentation projects may be stored in GitHub repositories, either under your own GitHub account or under a Doccupine-managed account. Regardless of where the repository is hosted, you retain ownership of your content. If you connect your own GitHub account, you are responsible for managing access and permissions to your repositories.
Doccupine Intellectual Property
The Service, including its design, features, code, documentation, and branding, is owned by Doccupine and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Upload, publish, or transmit content that is defamatory, obscene, abusive, fraudulent, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Use the Service to send spam, unsolicited messages, or engage in any form of automated abuse
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service in a manner that could damage, disable, overburden, or impair the Service
- Violate any applicable local, state, national, or international law or regulation
Doccupine reserves the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this provision, including suspension or termination of the violating user's account.
7. Third-Party Services
The Service integrates with and relies on several third-party services. Your use of these integrations is subject to the respective third-party terms and policies:
- GitHub:Repository hosting and version control for documentation projects. Subject to GitHub's Terms of Service.
- Stripe:Payment processing for subscriptions. Subject to Stripe's Terms of Service.
- Clerk:Authentication and identity management. Subject to Clerk's Terms of Service.
- AI Providers (e.g., OpenAI, Anthropic, Google): AI model inference for content features. Subject to the respective provider's terms of use.
Doccupine is not responsible for the availability, accuracy, or practices of any third-party services. Your interactions with third-party services are governed by their respective terms, and you assume all risks associated with their use.
8. Service Availability and Modifications
We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:
- Scheduled maintenance, updates, or infrastructure changes
- Unscheduled outages caused by technical issues or third-party service disruptions
- Force majeure events beyond our control
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the Service.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Doccupine and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or other intangible losses, arising out of or in connection with:
- Your use of or inability to use the Service
- Any unauthorized access to or alteration of your data or transmissions
- Actions or content of any third party on or through the Service
- Any AI-generated content produced through the Service
- Service interruptions, including those caused by third-party provider outages
In no event shall Doccupine's total aggregate liability exceed the amount you have paid to Doccupine in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Termination
Termination by You
You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion. Upon termination, your right to use the Service will cease immediately.
Termination by Doccupine
We may suspend or terminate your account and access to the Service at any time, with or without cause, including but not limited to:
- Violation of these Terms or any applicable law
- Abusive, fraudulent, or harmful behavior on the platform
- Non-payment of subscription fees after reasonable notice
- Extended inactivity on your account
Effect of Termination
Upon termination, your access to the Service will be disabled. Your User Content stored in GitHub repositories under your own account will remain accessible through GitHub. Content in Doccupine-managed repositories will be retained for six (6) months following termination, after which it will be permanently deleted, including the GitHub repository and all associated project data. Sections of these Terms that by their nature should survive termination will remain in effect, including Limitation of Liability, Intellectual Property, and Governing Law.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Doccupine operates, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Service shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.
12. Changes to Terms
We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting the revised Terms on this page with an updated "Last updated" date. We may also provide additional notice, such as an email notification or an in-app banner, for significant changes.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your account.
